Agentic AI: A Board Briefing on Decision Authority and Governance Design
In my prior article we talked about the same topic but this time we’re going to take it to a different level to reflect what boards should be looking for on this topic.
Financial institutions are at an inflection point and I don't use that phrase lightly. This one is structural.
Agentic AI systems can now interpret context, coordinate workflows and act within defined boundaries without waiting for instruction at every step. That shifts AI from something advisory, a tool that informs human decisions, to something operational. A participant, not a prompt.
For boards, the question is no longer whether AI will be adopted. That conversation is over. The question is how decision authority gets structured, supervised and governed as these systems move from pilots into production. And the institutions that answer it well will carry a different kind of advantage, one that compounds.
The Delegation Question
Banks have been automating tasks for decades. What changes in 2026 is more fundamental: we're now delegating components of decision-making itself.
A well-designed agentic system can aggregate data across multiple systems in real time, execute adaptive workflows and escalate exceptions dynamically, without a human initiating each step. That changes the architecture of control in ways that most governance frameworks haven't caught up with yet.
The central question for boards is this: what categories of decision are we prepared to delegate to intelligent systems, and at what risk tolerance? It belongs in the boardroom, not in a technology steering committee.
The Competitive Pressure Is Already Here
Early deployments are already running in constrained but meaningful domains, fraud triage, dispute resolution, credit pre-assessment, liquidity monitoring. The institutions embedding agentic systems carefully in these areas are building something that will compound: faster risk response, reduced operational latency, better capital efficiency, sharper customer responsiveness.
The gap this creates won't be marginal. Every well-governed deployment builds the institutional muscle to scale the next one. The institutions moving now are not just gaining efficiency, they are structurally repositioning for the next cycle of supervisory and competitive pressure.
The Risk Surface Expands Too
This needs to be said plainly. Agentic AI introduces new exposures that boards need to own — not delegate and assume handled.
Model drift can influence material decisions before anyone notices. Escalation failures occur at exactly the wrong moment. Explainability gaps become regulatory exposure as supervisors ask harder questions. And accountability ambiguity, where it's genuinely unclear who owns an AI-influenced decision, surfaces badly in an incident review.
Four things must be structurally embedded, not aspirationally documented: AI decision boundaries explicitly defined, human override mechanisms built into workflows, audit traceability immutable, and governance reporting on AI systems continuous rather than periodic.
Without this, scale stalls or the institution faces supervisory intervention. Neither is a recoverable position quickly.
The Capital Implication
Here is what boards should be internalising beyond operational risk: in a tightening regulatory environment, governance maturity will influence supervisory posture, which in turn shapes strategic flexibility and capital efficiency. Institutions that demonstrate real-time, auditable control environments will move faster under regulatory scrutiny and that speed translates directly into balance sheet optionality. Those that cannot will face slower approvals, higher compliance costs and constrained capacity to deploy capital into new opportunities. Governance design is balance sheet strategy. It is not separable from it.
Where Capital Should Flow
Investment in agentic AI is rising across the region but value won't be unlocked through isolated pilots that never connect to each other or to the risk framework.
The smarter allocation targets supervision architecture, real-time oversight tooling, cross-functional governance redesign and AI literacy at executive and risk committee level. The return comes from building control systems that scale with the technology. Model deployment alone does not deliver it.
The Board-Level Reality
Agentic AI is not an efficiency initiative. It is a reconfiguration of institutional intelligence, how decisions are made, by what combination of human and machine judgment, at what speed, and with what accountability attached.
Boards that treat it as technology spend will underinvest in the governance layer that determines whether it scales. Boards that treat it as structural transformation will build compounding advantage.
The technology advances regardless. Control architecture determines who captures the value.
The Convergence of AI and Regulatory Technology: Governance at the Speed of Algorithms
Financial regulation was designed for human-paced decision systems. Committees review. Reports follow. Controls catch what slipped through. AI compresses time in ways that design didn't anticipate.
As intelligent systems begin to influence credit decisions, trading activity and customer interactions at speed and scale, regulatory oversight has to operate at comparable velocity. The convergence of AI and regulatory technology is not a strategic option institutions can choose to defer. It is becoming a structural necessity and increasingly, a balance sheet question.
The Mismatch Is Already Visible
Traditional compliance models are retrospective by design: decisions occur, controls review, reports follow. That sequence made sense when decisions moved at human pace.
AI-enabled environments break it. When an agentic system has executed fifty workflow steps before a human reviews the first one, retrospective compliance doesn't catch much. It documents what already happened.
The implication is uncomfortable but important: compliance has to become embedded within the decision layer itself. That is a different architecture, a different cost structure, and a different conversation about where compliance functions sit in the organisation.
Predictive Compliance Is Now Possible
The more significant shift is that advanced RegTech now makes something genuinely new achievable: compliance that gets ahead of problems rather than responding to them.
Continuous transaction monitoring, real-time anomaly detection, automated regulatory mapping, proactive identification of conduct risk, these are no longer theoretical. Institutions that build these capabilities into their AI delivery lifecycle can demonstrate to supervisors that their control environment is active and intelligent. That demonstration matters more than most boards currently appreciate.
Trust as Structural Capital
Regulators are assessing governance maturity, not just outcomes. An opaque AI system that produces good results doesn't build supervisory trust it creates unresolved questions about whether good results reflect good design or good fortune.
Transparent, explainable systems do something different. They give regulators a reason to move with an institution rather than around it. In Australia, the legacy of past automation failures has reinforced how costly inadequate oversight becomes reputationally and regulatorily. That history shapes how APRA and ASIC approach AI governance today.
Trust is no longer a communications strategy. It is structural capital, and it accumulates or erodes based on system design, not intent.
The Capital Implication
Boards should connect this directly to the balance sheet. Institutions that can demonstrate real-time, explainable control environments will attract supervisory confidence and supervisory confidence affects strategic freedom. Faster product approvals, smoother capital raises, reduced remediation risk. In contrast, institutions that face supervisory scrutiny over AI governance will find that cost of compliance rises, capital deployment slows and reputational exposure constrains strategic options precisely when flexibility matters most. Governance maturity is not a risk function outcome. It is a capital efficiency lever.
What Boards Need to Ensure
Four things must be non-negotiable. AI explainability standards formally defined , not left to individual program teams. Decision lineage auditable end-to-end, built in from the start rather than retrofitted after an incident. Accountability for AI-influenced decisions unambiguous, someone owns the outcome. And compliance functions embedded within AI delivery lifecycles, not consulted at the end when architecture is already set.
AI and compliance must co-evolve. Treating them as parallel workstreams with a handoff point creates fragility at exactly the junction where it's most costly.
The Strategic Conclusion
AI will not reduce regulatory burden. Institutions expecting a compliance dividend from AI adoption are reading the trajectory incorrectly. What AI will do is increase scrutiny of how decisions are made, what systems influenced them, and whether institutions can defend those decisions when asked.
The advantage will belong to institutions that transform compliance into an intelligent, integrated capability rather than a defensive cost layer. In an environment where regulatory resilience determines how fast you can move with confidence, that capability becomes a growth enabler.
The institutions that understand this earliest will have the most room to scale.
